Terms of Service

1. Scope & Applicability

By browsing digitalbreeze.co.ke or contracting Digital Breeze Ltd for Zoho implementation, telephony deployment, or software development, you consent to these Terms of Service. Enterprise consulting engagements are further governed by individual written Statements of Work (SOW).

2. Implementation & Consulting Engagements

All software engineering, Deluge development, and business process automation projects are executed according to mutually agreed milestones. We provide fixed-scope written proposals detailing deliverables, timelines, and acceptance criteria before commencement.

3. Intellectual Property Rights

Custom software workflows, custom Deluge scripts, and proprietary reports engineered specifically for a paying client become the operational property of the client upon final settlement of invoices. Digital Breeze retains rights over pre-existing reusable utility scripts, frameworks, and our brand trademarks.

4. Client Ownership of Cloud Data

All commercial databases, customer records, accounting ledgers, and trade secrets hosted inside Zoho or 3CX tenants remain the exclusive property of the client. Digital Breeze never retains or leverages client business data for any extraneous commercial purpose.

5. Dispute Resolution & Jurisdiction

These terms and any related contractual engagements shall be governed and construed in accordance with the laws of the Republic of Kenya, with exclusive dispute jurisdiction residing in the courts of Nairobi.
